Partner Programme Terms
These terms are an agreement between Oceanx Consulting Pty Ltd (ABN 67 615 055 368), an Australian company trading as Vendarity (“we”, “us”), and a business we accept into the Vendarity partner programme (“you”, the partner). They apply together with the email in which we confirm your track, your code and any commission.
In short
- The programme is by invitation. You share a link with your own code.
- A business that creates a workspace with your code gets a free trial 30 days longer (44 days instead of 14).
- Where your confirmation includes commission: 20% of what each referred workspace pays, excluding tax, for 12 months from its first payment, each share held 60 days and paid once you are owed US$100.
- You say that you’re a partner wherever you recommend Vendarity, and describe it only as our public pages do.
1. Joining the programme
We invite insurance brokers, consultants (such as ISO, WHS, safety and contractor-management consultants) and industry associations to take part. Paying customers can also refer businesses with their workspace’s own link (section 5). Our confirmation email states your track, your code and whether you earn commission. These terms and that email are the whole agreement about the programme.
You confirm that you are a business, that the person who accepts these terms may bind it, and that the details you give us are accurate.
2. Your code and link
Your link is Vendarity’s sign-up page with your code added. A workspace created through it records your code once, when the workspace is created, and keeps it. A workspace has at most one partner, and a code cannot be added to a workspace later. We use no tracking cookies: the code in the link is the only record of a referral.
We may pause or end a code, for example when these terms end or are breached. A paused or ended code no longer works at sign-up; workspaces it already referred keep it.
3. What referred businesses get
A business whose workspace is created with your code gets a free trial 30 days longer than the standard 14 days. Sign-up shows it your name and the trial’s length. It uses Vendarity under its own Terms of Service; you cannot accept them for it, and you may not charge it for Vendarity itself. You may charge for your own services, such as setup or advice.
4. Commission
Who earns it. Only partners whose confirmation email includes commission. An insurance broker earns commission only if it confirms in writing that it may accept and disclose it; UK brokers earn none, under the FCA’s rules on inducements. Customers earn none.
How much. 20% of each paid invoice of a workspace you referred, calculated on the total excluding tax, after discounts and refunds, for 12 months from that workspace’s first paid invoice. Amounts are in US dollars and exclude GST or similar taxes; if you are registered for GST and give us a valid tax invoice, we pay the tax on top.
When. Each share becomes due 60 days after the invoice is paid, because a payment can be refunded in that time. An invoice that is later refunded or lost in a dispute reduces what is due; if it was already paid out, we set it against your later commission. We pay monthly by bank transfer once you are owed at least US$100.
Tax details. We pay commission only after you give us your tax details: an Australian Business Number for an Australian partner (without one, Australian law requires us to withhold 47%), or a US Form W-9 or W-8BEN. You are responsible for your own taxes.
5. Customer referral links
An Owner or Admin of a workspace on a paid plan can create its referral link under Settings, Plans & usage. A business that creates a workspace with it gets the longer trial in section 3 and sees the referring workspace’s name. The referring workspace receives no payment or credit, and cannot use its own link.
6. How you promote Vendarity
You must:
- say clearly that you are a Vendarity partner, and whether you earn commission, wherever you recommend Vendarity, as the advertising and consumer laws of the countries where you promote it require;
- describe Vendarity only as its public pages do. In particular, AI suggests details and a person decides, and Vendarity does not confirm documents with insurers or certification bodies. Do not promise legal compliance, savings or results;
- email or message only people who have agreed to hear from you, under the anti-spam laws that apply to you;
- as an insurance broker, meet your own professional obligations about remuneration and disclosure.
You must not:
- bid on Vendarity’s name in search or social advertising, or use it in a domain, account or app name;
- offer or arrange paid or incentivised reviews of Vendarity;
- refer your own business, or a workspace you or your colleagues belong to;
- use our name or logo except as we supply them, or suggest that we endorse anything beyond this partnership.
7. Information
For each workspace you referred, we tell you the business name and, where you earn commission, its plan, the invoice amounts and your commission. We tell you nothing else about a customer, and you must not ask a customer’s staff for access to its workspace on our behalf.
We hold your name, business, email, country, code, the version of these terms you agreed to, your tax and bank details and the commission we pay you, to run the programme and keep tax records. The Privacy Policy explains how we handle them and how long we keep them.
8. Ending
Either of us may end this agreement by email with 30 days’ notice. We may end it at once if you breach these terms. When it ends, your code stops working, and we pay commission already due on invoices paid before the end, unless the referral breached these terms.
9. General
You are an independent business, not our employee, agent or reseller, and neither of us may bind the other. The programme is not exclusive. Our total liability under these terms is limited to the commission due to you in the 12 months before the claim, except where the law does not allow that limit.
We may change these terms by giving you 30 days’ notice by email; the change applies to commission on invoices paid after it takes effect. These terms are governed by the laws of New South Wales, Australia, and its courts have jurisdiction. To ask a question, email help@vendarity.com.
